Terms and Conditions

These Terms of Service govern your access to and use of L2VR services, software and websites (“Services”), which are a product of L2 Technologies Limited (herein referred to as “L2VR”) so please carefully read them before signing up.

These Terms govern your use and access to the Services. By using the Services you indicate your agreement to be bound by these Terms including when used on behalf of an organization and assumes that you have the authority to bind such organizations to the same Terms.

You must use the Services in compliance with the following Terms. You may only use L2VR if you are legally able to form a contract with L2VR and are not barred by any applicable laws from doing so.

The Services may continue to change over time as we refine and add more features. We may stop, suspend, or modify the Services at any time without prior notice to you. We may remove content from the Services at our discretion.

Your Content

By using our Services you may provide us with information, files, and folders that you submit to L2VR (together, “Content”). You retain full ownership to your Content and we claim no ownership over any of it. These Terms do not give us any rights to your Content or intellectual property except for the limited rights required to run our Services, as explained below.

In order to host your files and share them as you request, we need permission to do things you ask with your Content. This includes providing certain features, support and technical administration in relation to our Services and this permission is required to extend to our third party service providers. You give us and our third party service providers permission to do these things with your Content in order to provide the Services.

Regardless of how our Services evolve, we will not share your content with others for any purpose unless directed by you or required by law. Further information about how we collect and use your information can be found in our privacy policy.

Your conduct, the content of your files and your communications with others while using our Services is your sole responsibility.

L2VR reserves the right to review Content for compliance with our community guidelines, but you accept that L2VR has no obligation to monitor Content or other information on the Services. L2VR is not responsible for the accuracy, appropriateness or legality of files, posts or other information that may be accessed when using the Services.

Sharing Content

Some L2VR features allow you to share Content with others or make it public. Please consider carefully what you choose to share or make public as L2VR accepts no responsibility for this.

Your Responsibilities

Files and other Content on L2VR services may be protected by intellectual property rights of others. Please do not copy, upload, download, or share files unless you have the right to do so. You, not L2VR, will be fully responsible and liable for what you copy, share, upload, download or otherwise use while using our Services. You agree not to upload spyware or any other malicious software to the Service.

You, and not L2VR, are responsible for maintaining, protecting and backing up all of your Content. L2VR will not be liable for any loss or corruption of Content, or for any costs or expenses associated with backing up or restoring the Content.

If contact information or other information related to your account changes, you must notify us promptly and keep your information current. The Services are not intended for use by you if you are under 13 years of age. By agreeing to these Terms, you are confirming that you are over 13.

You are responsible keeping the password you have created to access the Services safe and agree not to disclose your password to any third party. You are responsible for any activity using your account, whether or not you authorized that activity. If you become aware of any unauthorized use of your account, you should immediately notify L2VR of this. You acknowledge that if you wish to protect your transmission of data or files to L2VR, it is your responsibility to use a secure encrypted connection to communicate with the Services.

Software and Updates

Use of certain Services may require you to download a client software package (“Software”). L2VR hereby grants you a limited, nonexclusive, nontransferable, revocable license to use the Software, solely to access the Services. Your license shall be automatically revoked if you violate these Terms in a manner that implicates our intellectual property rights. We hereby reserve all rights not expressly granted in these Terms. You must not reverse engineer or decompile the Software, nor attempt to do so, nor assist anyone else to do so. Our Services may update the Software on your device automatically when a new version is available. These terms do not grant you any right, title, or interest in the Services, Software, or the content in the Services.

Feedback is much appreciated from users but please be aware that we may use any feedback, comments, or suggestions you send us or post in our forums without any obligation to you. The Software and other technology we use to provide the Services are protected by copyright, trademark, and other laws of both New Zealand and other foreign countries. These Terms do not grant you any rights to use the L2VR trademarks, logos, domain names, or other brand features without express written permission from us.

Termination

You can stop using our Services at any time. We reserve the right to suspend or end the Services at any time, with or without cause, and with or without notice. For example, we may suspend or terminate your use if you are not complying with these Terms, or use the Services in any way that would cause us legal liability or disrupt others’ use of the Services. If we suspend or terminate your use, we will try to let you know in advance and help you retrieve your Content, though there may be some cases (for example, repeatedly or flagrantly violating these Terms, a court order, or danger to other users) where we may suspend immediately without notice.

L2VR is Available “AS-IS”

Though we want to provide a great service, there are certain things about the service we cannot promise. We have put this in capitals to make it appear important, because it is, but you can imagine us singing it if you like: THE SERVICES AND SOFTWARE ARE PROVIDED “AS IS”, AT YOUR OWN RISK, WITHOUT EXPRESS OR IMPLIED WARRANTY OR CONDITION OF ANY KIND. WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. L2VR will have no responsibility for any harm to your computer system, loss or corruption of data, or other harm that results from your access to or use of the Services or Software. The types of disclaimers in this paragraph may not apply to you if your local jurisdiction does not allow them.

Limitation of Liability

Again with the capitals, and the singing: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL L2VR, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL (INCLUDING LOSS OF USE, DATA, BUSINESS, OR PROFITS) DAMAGES, REGARDLESS OF LEGAL THEORY, WHETHER OR NOT L2VR HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE; (B) AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES MORE THAN THE GREATER OF $50 OR THE AMOUNTS PAID BY YOU TO L2VR FOR THE PAST THREE MONTHS OF THE SERVICES IN QUESTION.

Modifications to Terms

We may revise these Terms from time to time and the most current version will always be posted on our website. If a revision, in our sole discretion, is material we will notify you (for example via email to the email address associated with your account). Other changes may be posted to our blog or terms page, so please check those pages regularly. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, please stop using the Services.

Miscellaneous Legal Terms

THESE TERMS AND THE USE OF THE SERVICES AND SOFTWARE WILL BE GOVERNED BY NEW ZEALAND LAW. ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES OR SOFTWARE MUST BE LITIGATED EXCLUSIVELY IN THE COURTS OF NEW ZEALAND, AND BOTH PARTIES CONSENT TO VENUE AND PERSONAL JURISDICTION THERE. These Terms constitute the entire and exclusive agreement between you and L2VR with respect to the Services, and supersede and replace any other agreements, terms and conditions applicable to the Services. These Terms create no third party beneficiary rights. L2VR’s failure to enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable the remaining provisions of the Agreement will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. You may not assign any of your rights in these Terms, and any such attempt is void, but L2VR may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Services. L2VR and you are not legal partners or agents; instead, our relationship is that of independent contractors.

Your privacy is important to us. L2VR employees are prohibited from viewing the content of files you store in your account, and are only permitted to view file metadata (e.g., file names and locations). Like most online services, we have a small number of employees who must be able to access user data for the reasons stated in these Terms and our privacy policy (e.g., when legally required to do so). This is the exception, not the rule. We have strict policy and technical access controls that prohibit employee access except in these rare circumstances.

Third-party Apps

If you choose to access L2VR using third-party applications (“apps”), be aware that those apps utilize their own security protocols and have their own privacy policies. If you’re not comfortable with the privacy and security features of those apps, you should not use them to access L2VR. For example, third-party apps might not employ encryption when transmitting data, might collect information that L2VR does not, and might use information differently than L2VR does.

Legal and Law Enforcement Compliance

As set forth in our privacy policy, and in compliance with New Zealand law, L2VR cooperates with New Zealand law enforcement when it receives valid legal process, which may require L2VR to provide the contents of your private L2VR account. In these cases, L2VR will remove any encryption from files before providing them to law enforcement.

Reporting Security Concerns

We take a number of measures to ensure that the data you store on L2VR is safe and secure. However, we recognize that no system can guarantee data security with 100% certainty. For that reason, we will investigate any and all reported security issues concerning L2VR's services or software.

Acceptable Use Policy

Our Services are used by storytellers all over the world, and we are proud of the trust they have placed in us. In exchange, we trust you to use our Services responsibly.

You agree not to misuse the Services. For example, you must not, and must not attempt to, use the Services to do the following things.

probe, scan, or test the vulnerability of any system or network;
breach or otherwise circumvent any security or authentication measures;
access, tamper with, or use non-public areas of the Service, shared areas of the Service you have not been invited to, L2VR (or our service providers’) computer systems;
interfere with or disrupt any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Services;
plant malware or otherwise use the Services to distribute malware;
access or search the Services by any means other than our publicly supported interfaces (for example, “scraping”);
send unsolicited communications, promotions or advertisements, or spam;
send altered, deceptive or false source-identifying information, including “spoofing” or “phishing”;
publish anything that is fraudulent, misleading, or infringes another's rights;
promote or advertise products or services other than your own without appropriate authorization;
impersonate or misrepresent your affiliation with any person or entity;
abuse L2VR referrals or incentive programs to get more credit for referrals than deserved;
publish or share materials that are unlawfully pornographic or indecent, or that advocate bigotry, religious, racial or ethnic hatred; and
violate the law in any way, or to violate the privacy of others, or to defame others.
